Bylaws Aruba Trade & Industry Association
Article 1
The financial obligations of the members are comprised of the yearly dues, which are set during the
Annual General Meeting of Members as described in article 12 of the Articles of Association. The
yearly dues are based upon membership category:
Category A - Businesses with 1 -5 employees
Category B - Businesses with 6 - 20 employees
Category C - Businesses with 21 - 50 employees
Category D - Businesses with 51 or more employees
Category E - Holding companies that group different companies together by a notarial act.
The dues must be paid during the first quarter of every year, with the exception of the year in
which membership was attained. An ex-member can only be reaccepted as a member after all pending
financial obligations toward the Association have been complied with in full.
Article 2
A member that has been expelled as per Article 9 sub-b of the Articles of Association can appeal
against the expulsion to the General Meeting of Members within a month of having received the
written notification of expulsion. This appeal must be made in writing and directed to the
Board of the Association. Within a month after receipt of the appeal letter, the board will
call a General Meeting to discuss the case. The General meeting will either confirm, cancel or
postpone the expulsion.
Article 3
The election of Board members as well as the membership of the auditing committee is effected in
writing. Election by acclamation can only take place if none of the members object. Blank voting
papers as well as voting papers containing more names than there are open Board functions will
be considered not valid.
Article 4
The Board will meet whenever the president, or two other Board members (via a request to the president)
so deem(s) necessary. If, within the period of one month of having been requested, the president
does not comply with the request of the two Board members, these two Board members have the right
to call a Board meeting without the intervention of the president. If, during this meeting,
the president is absent, the meeting will be presided by the first vice-president. In case the
first vice-president is absent, the meeting will be presided by the second vice-president. In all
other cases the Board members present will appoint an acting president (from among themselves). A
Board meeting canceled because of a lack of quorum will be called for at a later date.
Article 5
Board members are authorized to represent a member during the General Meeting of Members. Only in
this case does the Board member have a right to vote in General Meetings.
Article 6
The adjourned General Meeting as described in Article 18 sub-b of the Articles of Association may
be reconvened no less than one half hour after the adjournment.

Article 7
Provided the outgoing president is re-elected, he/she shall automatically holds the position of
first vice-president for the first year, and of regular board member for the second year. The
Board members shall appoint the first vice president for the succeeding year.
